Terms of Service

These Terms of Service ("Terms") govern access to and use of the Beyond Guard platform, website, software, APIs, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1) Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement under applicable law. If you access or use the Services on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization and that the organization agrees to be responsible for all activities conducted through its accounts.

2) Access and Use of the Services

Beyond Guard provides artificial intelligence security, governance, monitoring, compliance, risk management, testing, auditing, and related capabilities designed to assist organizations in securing and managing AI systems and digital environments.

Subject to these Terms and any applicable subscription agreement, Beyond Guard grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for its internal business purposes.

Customer shall not use the Services in any manner that violates applicable laws, regulations, third-party rights, or these Terms.

3) Customer Accounts

Access to certain Services may require the creation of an account. Customer is responsible for maintaining the confidentiality of account credentials and for all activities occurring under its accounts.

Customer agrees to promptly notify Beyond Guard of any actual or suspected unauthorized access, security breach, misuse, or compromise of account credentials.

Beyond Guard reserves the right to suspend or disable accounts that present security risks or violate these Terms.

4) Customer Responsibilities

Customer remains solely responsible for all data, content, prompts, files, configurations, instructions, and information submitted to or processed through the Services.

Customer represents and warrants that it has obtained all rights, permissions, authorizations, and legal bases necessary to provide such information to Beyond Guard and to permit its processing in connection with the Services.

Customer is solely responsible for evaluating the suitability of the Services for its intended use and for any decisions, actions, or omissions taken based upon outputs, recommendations, findings, reports, alerts, or analyses generated by the Services.

5) Acceptable Use Restrictions

Customer shall not, and shall not permit any third party to:

  • Access or use the Services for unlawful purposes;

  • Interfere with or disrupt the integrity, security, or performance of the Services;

  • Attempt to gain unauthorized access to any systems, networks, accounts, or infrastructure;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying technology;

  • Circumvent technical limitations, access controls, or security measures;

  • Use the Services to develop competing products or services;

  • Engage in activities that may damage, disable, overburden, or impair the Services.

Beyond Guard reserves the right to investigate suspected violations and take any action deemed necessary to protect the Services, customers, users, and third parties.

6) Customer Data

As between the parties, Customer retains all ownership rights in Customer Data. Nothing in these Terms transfers ownership of Customer Data to Beyond Guard.

Customer grants Beyond Guard a limited, worldwide, non-exclusive license to host, process, transmit, analyze, store, and otherwise use Customer Data solely to provide, maintain, secure, support, and improve the Services.

Beyond Guard may generate and use aggregated, anonymized, statistical, and de-identified information derived from the use of the Services for product development, benchmarking, analytics, security monitoring, and operational improvement purposes, provided that such information does not identify Customer or any individual.

7) Privacy and Security

Beyond Guard implements commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, disclosure, alteration, or destruction.

However, Customer acknowledges that no method of electronic transmission, storage, or processing can be guaranteed to be completely secure. Beyond Guard does not warrant that the Services will be immune from all vulnerabilities, cyberattacks, interruptions, or unauthorized access attempts.

Customer remains responsible for maintaining appropriate security controls, governance procedures, and risk management practices within its own environment.

8) AI and Security Disclaimer

Beyond Guard provides tools and services intended to assist organizations in identifying, evaluating, monitoring, and mitigating risks associated with artificial intelligence systems, digital assets, and operational environments.

The Services are designed to support security, governance, compliance, and risk management efforts but do not guarantee the prevention, detection, identification, remediation, or elimination of all vulnerabilities, attacks, threats, errors, misconfigurations, compliance violations, or security incidents.

Customer acknowledges that artificial intelligence technologies, machine learning systems, cybersecurity environments, and software platforms inherently involve uncertainty, evolving risks, and technical limitations that cannot be fully eliminated.

Any reports, recommendations, findings, classifications, scores, alerts, assessments, risk indicators, analyses, or outputs generated by the Services are provided for informational and operational support purposes only and should not be relied upon as the sole basis for legal, regulatory, security, financial, compliance, or business decisions.

9) Third-Party Services

The Services may integrate with, connect to, rely upon, or otherwise interact with third-party software, infrastructure, artificial intelligence models, cloud environments, APIs, data sources, and external services.

Such third-party services are not owned, operated, or controlled by Beyond Guard and may be subject to separate terms, conditions, privacy policies, and operational practices established by their respective providers.

Beyond Guard does not warrant or guarantee the availability, security, reliability, accuracy, performance, legality, or continued operation of any third-party service and shall not be liable for any losses, damages, interruptions, delays, inaccuracies, security incidents, or other consequences arising from their use, failure, modification, limitation, or discontinuation.

10) Beta and Experimental Features

From time to time, Beyond Guard may offer beta, preview, evaluation, early access, experimental, or pre-release features.

Such features may contain defects, errors, limitations, interruptions, or inaccuracies and may be modified, suspended, or discontinued at any time without notice.

Unless expressly stated otherwise in writing, beta and experimental features are provided on an "as is" basis and are excluded from any service commitments or warranties.

11) Intellectual Property Rights

The Services, including all software, technology, algorithms, methodologies, interfaces, designs, documentation, trademarks, trade names, copyrights, trade secrets, and other intellectual property rights, are and shall remain the exclusive property of Beyond Guard and its licensors.

No rights are granted to Customer except those expressly stated in these Terms.

Customer shall not remove, alter, or obscure any proprietary notices appearing within the Services.

12) Fees and Payment

Customer agrees to pay all fees specified in the applicable order form, subscription plan, invoice, or commercial agreement.

Unless otherwise stated, all fees are non-refundable and exclusive of taxes, duties, levies, or governmental charges. Customer is responsible for all applicable taxes associated with its use of the Services.

Failure to pay amounts due may result in suspension or termination of access to the Services.

13) Suspension of Services

Beyond Guard may suspend or restrict access to all or part of the Services immediately and without prior notice if it reasonably determines that:

  • Customer has violated these Terms;

  • Customer's use creates a security risk;

  • Customer's activities may harm the Services or other customers;

  • Payment obligations remain outstanding;

  • Suspension is necessary to comply with applicable law, legal process, or governmental request.

Beyond Guard shall not be liable for any damages arising from such suspension.

14) Service Modifications and Discontinuation

Beyond Guard continuously develops and improves its Services. Accordingly, Beyond Guard reserves the right, at its sole discretion and without liability, to modify, enhance, replace, remove, suspend, restrict, discontinue, or otherwise alter any aspect of the Services, including features, functionality, integrations, interfaces, pricing structures, or service offerings.

While Beyond Guard may provide advance notice of material changes when reasonably practicable, Customer acknowledges that certain modifications may occur immediately due to operational, technical, legal, security, or business considerations.

Beyond Guard shall not be liable for any loss, disruption, business interruption, loss of data, loss of opportunity, or other damages resulting from modifications, suspensions, restrictions, or discontinuation of the Services.

Customer is solely responsible for maintaining backups and exporting any information it wishes to retain prior to termination or discontinuation of access.

15) Confidentiality

Each party may receive confidential information from the other party in connection with the Services.

The receiving party shall use reasonable care to protect confidential information and shall not disclose such information to third parties except as necessary to perform its obligations, comply with applicable law, or with the disclosing party's prior written consent.

Confidentiality obligations shall survive termination of these Terms.

16) Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

BEYOND GUARD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, PERFORMANCE, OR ERROR-FREE OPERATION.

BEYOND GUARD DOES NOT WARRANT THAT THE SERVICES WILL MEET CUSTOMER'S REQUIREMENTS OR THAT OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR FREE OF DEFECTS.

17) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEYOND GUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

IN NO EVENT SHALL BEYOND GUARD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO BEYOND GUARD DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

18) Indemnification

Customer agrees to defend, indemnify, and hold harmless Beyond Guard, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, expenses, or legal fees arising out of or relating to Customer Data, Customer's use of the Services, violation of these Terms, violation of applicable law, or infringement of third-party rights.

19) Force Majeure

Neither party shall be liable for delays, interruptions, failures, or inability to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, telecommunications failures, internet disruptions, cyberattacks, infrastructure outages, utility failures, acts of war, terrorism, epidemics, pandemics, or failures of third-party service providers.

20) Term and Termination

These Terms remain effective for as long as Customer accesses or uses the Services.

Beyond Guard may terminate or suspend access to the Services at any time if Customer breaches these Terms or if continued access presents legal, security, operational, or business risks.

Upon termination, Customer's rights to access and use the Services shall immediately cease. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and any provisions intended by their nature to survive termination shall remain in effect.

21) Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Istanbul, Türkiye.

22) Changes to These Terms

Beyond Guard reserves the right to modify these Terms at any time. Updated versions will be posted on the applicable website and will become effective upon publication unless otherwise specified.

Customer's continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
